DeMarinis v. Heritage Bank of Commerce
In this class action case, Nicole DeMarinis and Kelly Patire, current and former employees of Heritage Bank of Commerce, brought a case under the California Private Attorneys General Act of 2004 (PAGA) against Heritage Bank for wage and hour and other Labor Code violations. The Court of Appeal of the State of California First Appellate District Division Three affirmed the trial court’s decision, rejecting Heritage Bank’s argument to compel arbitration of plaintiffs’ individual PAGA claims based on a waiver in their arbitration agreement.In the agreement, the plaintiffs had waived their right to bring any claims against each other in any class or representative proceeding. The bank argued that the denial of arbitration was erroneous because the waiver provision was enforceable, pertaining only to plaintiffs’ nonindividual PAGA claims. The court, however, found that the provision violated public policy as it required plaintiffs to completely abandon their right to bring both individual and nonindividual PAGA claims in any forum.The court also found that the waiver provision's nonseverability clause and a "poison pill" provision, which stated that if the waiver provision is found unenforceable, then the entire arbitration agreement is null and void, precluded severance of the unenforceable nonindividual PAGA claims waiver. Consequently, the court concluded that the unenforceability of the waiver provision rendered the entire arbitration agreement null and void, thereby affirming the trial court's decision denying the motion to compel arbitration. Restaurant Law Center v. City of New York
In the case involving the Restaurant Law Center and the New York State Restaurant Association against the City of New York and the Commissioner of the City’s Department of Consumer and Worker Protection, the plaintiffs challenged a New York City law prohibiting the wrongful discharge of fast-food restaurant employees. The plaintiffs argued that the law was preempted by federal law and violated the dormant Commerce Clause of the United States Constitution.The United States Court of Appeals for the Second Circuit affirmed the decision of the United States District Court for the Southern District of New York, which had granted the defendants’ motions for summary judgment. The appellate court concluded that the city's Wrongful Discharge Law did not violate federal law nor the United States Constitution.The court held that New York’s Wrongful Discharge Law was not preempted by the National Labor Relations Act (NLRA) because it established minimum labor standards that regulated the substance, rather than the process, of labor negotiations. The court also held that the law did not violate the dormant Commerce Clause of the U.S. Constitution, which acts as a safeguard against economic protectionism. Great American Insurance Company v. Crystal Shores Owners Association, Inc.
The Supreme Court of Alabama dismissed an appeal by the Great American Insurance Company. The insurance company had appealed a lower court's decision denying its motion to invoke the appraisal procedure in a dispute with the Crystal Shores Owners Association, Inc. The dispute arose following damage to the Crystal Shores Condominium complex due to Hurricane Sally and a subsequent bathtub overflow in one of the units. The insurance company argued that the dispute over the amount of loss was subject to an appraisal procedure described in the insurance policy, which it contended was a form of arbitration. The Supreme Court of Alabama held that, regardless of whether federal law or Alabama law controlled the definition of "arbitration" in the Federal Arbitration Act, the appraisal clause in the insurance contract did not qualify as a clause calling for "arbitration". As such, the lower court's denial of Great American's motion did not constitute an order denying a motion to compel arbitration, and the Supreme Court of Alabama dismissed the appeal as one stemming from a nonfinal judgment. Crossroads Mgmt., LLC v. Ridgway
In Washington, a couple, the Lewises, moved into a rental property owned by another couple, the Ridgways. After the Lewises moved out, a dispute arose over the return of their security deposit. The Ridgways claimed the Lewises caused damage to the property and deducted repair costs from the deposit. The Lewises disputed these charges, and the case was sent to arbitration. During arbitration, the Lewises were awarded the full amount of their security deposit, but the Ridgways were given attorney fees under the small claims statute. The Lewises attempted to appeal the arbitration award and a pre-arbitration order granting partial summary judgment to the Ridgways. However, the Lewises did not personally sign their request for a trial de novo, a requirement under court rules and the arbitration statute.The Washington Supreme Court held that the Lewises' request for a trial de novo was ineffective because they did not personally sign the request, as required by the court rule and the arbitration statute. The court also held that, absent a valid request for a trial de novo, the Lewises could not appeal the pre-arbitration order granting partial summary judgment to the Ridgways. The court further stated that the question of who should be considered the prevailing party for the purpose of any attorney fee award needed further consideration, and remanded the case back to the lower court for determination of attorney fees. TORRES v. DHS
Crispin Torres, a former employee of the Department of Homeland Security's Immigration and Customs Enforcement (ICE), appealed an arbitration decision which upheld his removal from the agency for unauthorized travel and falsification of certified records. The United States Court of Appeals for the Federal Circuit found that the arbitrator did not provide substantial evidence for concluding that two key factors, consistency of penalty with similar offenses (Douglas factor 6) and potential for rehabilitation (Douglas factor 10), weighed in favor of Mr. Torres' removal. The court found that the arbitrator failed to fully consider comparator cases where similar misconduct by other ICE law enforcement officers resulted in suspension rather than removal, and did not adequately explain why Mr. Torres had no potential for rehabilitation. Haydon v. Elegance at Dublin
In this case from the Court of Appeal of the State of California First Appellate District Division Three, the plaintiff, Sally Ann Haydon, a former resident of Elegance at Dublin, a residential care facility for the elderly, sued the facility and its affiliated entities for elder abuse and other claims. The defendants attempted to compel arbitration based on an arbitration clause in the resident agreement that Haydon had signed. The trial court denied the motion, finding the arbitration agreement to be unconscionable. The defendants appealed this decision.Haydon had lived at the facility for a few days and has dementia. The agreement she signed, which contained the arbitration clause, was over 40 pages long, and the arbitration clause was one of over 20 "miscellaneous" provisions at the end of the document. Haydon claimed she signed the agreement under duress and without understanding its contents.On appeal, the court found that there was a high degree of both procedural and substantive unconscionability in the arbitration clause, and therefore affirmed the trial court's decision not to enforce it. The court found procedural unconscionability in the circumstances of the agreement's formation, considering the pressure Haydon was under to sign the agreement, the lack of explanation about the arbitration clause, and the confusing presentation of the clause. The court found substantive unconscionability in the confidentiality provision of the arbitration agreement, the limitations on discovery under the applicable arbitration rules, and the requirement that parties bear their own costs and fees in connection with the arbitration. The court also found that the trial court did not abuse its discretion by refusing to sever the unconscionable provisions from the arbitration clause, given the extent of the unconscionability. Bedgood v. Wyndham Vacation Resorts, Inc., et al.
In a case before the United States Court of Appeals for the Eleventh Circuit, several clients of Wyndham Vacation Resorts (Resorts) sought to arbitrate disputes with Resorts, but their petitions were rejected by the American Arbitration Association (AAA) because Resorts had failed to comply with AAA’s policies. The clients then sued Resorts in federal court. Resorts moved to stay the litigation and direct arbitration, but the district court denied the motion, reasoning that Resorts cannot rely on the Federal Arbitration Act (FAA) to compel arbitration because it had defaulted in its obligation to arbitrate by failing to comply with AAA's policies.The appellate court held as follows: First, the three clients who originally sought to arbitrate their claims against Resorts, only to see their petitions rejected due to Resorts’ noncompliance with AAA policies, may proceed to litigation. Second, three other clients who never formally submitted their claims against Resorts to the AAA, but whose agreements with Resorts contained identical arbitration provisions, may also proceed to litigation. However, two clients who had an agreement with different Wyndham-related entities must return to the district court for further consideration of the FAA’s applicability to their dispute.The court found that the district court correctly concluded that Resorts could not compel arbitration under the FAA. However, the court found that the district court's decision was too broad regarding the other Wyndham-related entities, Development and WorldMark, because there was no evidence that they had violated the AAA’s policies. Baglione v. Health Net of Cal.
Salvatore Baglione, insured under Health Net of California Inc. through his employer, the County of Santa Clara, brought a lawsuit against Health Net alleging breach of contract and bad faith. This followed Health Net's inconsistent authorization of a medication prescribed for Baglione's chronic condition. Health Net moved to compel arbitration of Baglione's claims based on an arbitration provision in the enrollment form Baglione had signed. The Superior Court of Los Angeles County denied Health Net's motion, finding that the agreement between Health Net and the County did not satisfy the disclosure requirements of Health and Safety Code section 1363.1, and therefore, the arbitration provision was unenforceable. Health Net appealed the decision.The Court of Appeal of the State of California, Second Appellate District, Division Eight, affirmed the trial court's order. The appellate court ruled that the enrollment form did not comply with the requirements of section 1363.1. It found that the form was not clear in its disclosure of which disputes were subject to arbitration, particularly with references to additional documents and laws that did not pertain to the arbitration agreement. Furthermore, the form did not place the arbitration provision immediately before the signature line, as required by the statute. The court also agreed with the lower court that the agreement between Health Net and the County was non-compliant. It ruled that an arbitration agreement, which is part of a health plan, is not enforceable unless both the enrollment form and the County agreement are compliant. Hernandez v. MicroBilt Corp
In this case, the plaintiff, Maria Del Rosario Hernandez, filed a lawsuit against MicroBilt Corporation alleging the company violated the Fair Credit Reporting Act after the lender denied her loan application based on inaccurate information provided by a MicroBilt product. MicroBilt moved to compel arbitration based on the terms and conditions that Hernandez agreed to while applying for the loan, which included an arbitration provision. However, Hernandez had already submitted her claims to the American Arbitration Association (AAA) for arbitration.The AAA notified MicroBilt that its agreement with Hernandez was a consumer agreement, which meant the AAA's Consumer Arbitration Rules applied. Applying these rules, the AAA notified MicroBilt that its arbitration provision included a material or substantial deviation from the Consumer Rules and/or Protocol. Specifically, the provision’s limitation on damages conflicted with the Consumer Due Process Protocol, which requires that an arbitrator should be empowered to grant whatever relief would be available in court under law or in equity. After MicroBilt did not waive the damages limitation, the AAA declined to administer the arbitration under Rule 1(d).MicroBilt asked Hernandez to submit her claims to a different arbitrator, but she refused, requesting a hearing before the District Court. She argued that she must now pursue her claims in court because the AAA dismissed the case under Rule 1(d). The District Court reinstated Hernandez’s complaint and granted MicroBilt leave to move to compel arbitration under 9 U.S.C. § 4. However, the District Court denied MicroBilt’s motion to compel, leading to this appeal.The United States Court of Appeals for the Third Circuit affirmed the lower court's decision, stating that Hernandez had fully complied with MicroBilt’s arbitration provision, which allowed her to pursue her claims in court. The court held that it lacked the authority to compel arbitration. The court rejected MicroBilt's arguments that the AAA administrator improperly resolved an arbitrability issue that should have been resolved by an arbitrator, that the provision’s Exclusive Resolution clause conflicted with Hernandez’s return to court, and that the AAA’s application of the Consumer Due Process Protocol was unreasonable. KIM V. TINDER, INC.
The Ninth Circuit Court of Appeals reversed a district court's approval of a class action settlement between Tinder and Lisa Kim, a user of the dating app, ruling that Kim was not an adequate class representative. This class action lawsuit against Tinder was over its former age-based pricing model. Kim had agreed to arbitration, unlike over 7,000 potential members of the class, creating a fundamental conflict of interest that violated Rule 23(a)(4). The court found that Kim had a strong interest in settling her claim as she had no chance of going to trial, unlike the other members. The court also noted that Kim failed to vigorously litigate the case on behalf of the class, with her approach to opposing Tinder’s motion to compel arbitration not suggesting vigor.
