Piplack v. In-N-Out Burgers
Defendant In-N-Out Burgers appealed a trial court’s denial of its motion to compel arbitration of the claims of plaintiffs Tom Piplack and Donovan Sherrod for penalties under the Labor Code Private Attorneys General Act of 2004 (PAGA). Defendant argued Viking River Cruises, Inc. v. Moriana, 142 S.Ct. 1906 (2022), rendered while defendant’s appeal was pending, required plaintiffs’ individual PAGA claims to be arbitrated and all remaining representative claims dismissed for lack of standing. Plaintiffs contended: (1) the agreement did not require arbitration of individual PAGA claims; (2) defendant waived its right to arbitration by participating in trial proceedings; (3) plaintiff Sherrod was not bound by the arbitration agreement because he entered it before reaching the age of majority and disaffirmed it after reaching that age; and (4) that plaintiffs had standing to pursue representative PAGA claims in court even if their individual claims were sent to arbitration. The Court of Appeal concluded the arbitration agreements required individual PAGA claims to be arbitrated and defendant did not waive its right to compel arbitration. Accordingly, as to plaintiff Piplack, the Court of Appeal reversed: his individual PAGA claim had to be arbitrated. As to plaintiff Sherrod, the Court remanded for the trial court to consider his arguments regarding disaffirmance in the first instance, as those arguments were not properly briefed or decided in the trial court because they were irrelevant under pre-Viking law. White v. Samsung Electronics America Inc.
Plaintiffs, owners of Samsung SmartTVs, filed a putative class action in 2017, alleging that the SmartTVs used automatic tracking software to collect personally identifying information about them, such as the videos or streaming services they watch, and transmit that data to third-parties, who allegedly used the information to display targeted advertisements. When setting up their SmartTVs, plaintiffs had to agree to Terms and Conditions to access the Internet-enabled services. On some SmartTVs, the Terms and Conditions contained an arbitration provision. In 2018, the plaintiffs disclosed the Model Numbers for the named plaintiffs' SmartTVs, which enabled Samsung to determine whether they agreed to Terms containing an arbitration clause.The district court dismissed all except for the Wiretap Act claims. In 2020, Samsung notified the court that it would move to compel individual arbitration, arguing that it did not waive its right to arbitrate because “the prerequisites of waiver— extensive discovery and prejudice—are lacking.” The Third Circuit affirmed the denial of the motion. Samsung waived its right to arbitrate and compelling arbitration would cause the plaintiffs to suffer significant prejudice. Samsung’s actions evinced a preference for litigation over arbitration. Samsung continuously sought and agreed to stays in discovery and pursued successful motions to dismiss on the merits. Martinique Properties, LLC v. Certain Underwriters at Lloyd’s of London
Martinique Properties, LLC filed a complaint against Certain Underwriters at Lloyd’s, London (Underwriters), seeking to vacate an arbitration award. The district court dismissed the complaint for failure to state a claim for vacatur. Martinique Properties appealed. Martinique Properties argues that the appraisal award must be vacated because the appraisers “used figures and measurements which are contrary to the actual conditions of the Property” and failed to “consider certain buildings” and certain portions of a damaged roof when determining the appraisal award. These alleged errors, Martinique Properties argues, show that the appraisers were either “guilty of misconduct” or “so imperfectly executed” their powers that “a mutual, final, and definite award . . . was not made,” two of the four grounds for vacating an award under the FAA.
The Eighth Circuit affirmed. The court found that Martinique Properties has alleged only factual errors that challenge the merits of the appraisal award, and the court has no authority to reconsider the merits of an arbitration award, even when the parties allege that the award rests on factual errors. Accordingly, the appraisers’ use of certain figures and measurements in calculating the amount of loss here, and their alleged failure to consider particular buildings and portions of roof damage, even if incorrect, are not sufficient for vacatur under the FAA. Algo-Heyres v. Oxnard Manor
Plaintiff suffered a stroke on August 18, 2009. He was hospitalized at St. John’s Regional Medical Center for two weeks, followed by a month in St. John’s inpatient rehabilitation facility. He entered Oxnard Manor, a skilled nursing facility, on October 3. Four days later, on October 7, Plaintiff signed an arbitration agreement. It stated that he gave up his right to a jury or court trial, and required arbitration of claims arising from services provided by Oxnard Manor, including claims of medical malpractice, elder abuse, and other torts. Plaintiff remained a resident at Oxnard Manor until his death nine years later, individually and as Plaintiff’s successors in interest, sued Oxnard Manor for elder abuse/neglect, wrongful death, statutory violations/breach of resident rights, and negligent infliction of emotional distress. Oxnard Manor filed a petition to compel arbitration. Both sides relied on medical records to demonstrate whether Plaintiff had the mental capacity to consent to the arbitration agreement.
The Second Appellate District affirmed. The court explained that evidence here that Plaintiff scored below the level necessary to “solve complex problems such as managing a checking account” supports the conclusion that he was unable to manage his financial affairs. But regardless of whether the presumption of Civil Code section 39, subdivision (b) applied, substantial evidence established that Plaintiff lacked the capacity to enter an arbitration agreement. Gostev v. Skillz Platform, Inc.
Skillz provides a mobile platform that hosts games in which players compete for cash prizes. To participate in paid-entry competitions, a user must save the player account; after entering a date of birth, the user must tap a box with the word “Next.” Below the “Next” box is the advisory statement: “By tapping ‘Next,’ I agree to the Terms of Service and the Privacy Policy.” A hyperlink, if tapped, takes the user to Skillz’s terms of service. Gostev saved a Skillz player account in 2019. The Terms of Service then had 15 pages.Gostev sued Skillz, alleging that its games constituted illegal gambling, predatory and unlawful practices, and violated the Unfair Competition Law and the Consumers Legal Remedies Act, Gostev alleged the arbitration agreement was unenforceable. Skillz argued that Gostev’s challenges to the enforceability of the arbitration provision had to be submitted to an arbitrator.The court of appeal affirmed a finding that the arbitration agreement was procedurally and substantively unconscionable. The court noted provisions that a plaintiff’s damages are limited, the arbitration must occur in San Francisco, a plaintiff only has one year to bring his claim, the parties must split the arbitration fees and costs, and the defendant can obtain equitable relief without posting a bond or security. CREDIT ONE BANK, N.A. V. MICHAEL HESTRIN
In March 2021, Riverside County, California District Attorney sued Credit One Bank in Riverside County Superior Court. The lawsuit (the “state action”) alleged that Credit One, a national bank, violated California law by employing a vendor to make extensive harassing debt collection phone calls to California residents. In a related federal case (the “federal action”), Credit One requested that the United States District Court for the Central District of California enjoin the state action on the ground that it was an unlawful exercise of “visitorial powers,” which the National Bank Act (“NBA”) and its associated regulations grant exclusively to the Office of the Comptroller of the Currency (“OCC”). The district court ultimately decided to abstain under Younger v. Harris, 401 U.S. 37 (1971), in favor of the state action and dismissed the federal action. Credit One appealed that dismissal.
The Ninth Circuit affirmed. The panel held that the district court correctly abstained because all four Younger factors were met. First, the state action qualified as an “ongoing” judicial proceeding because no proceedings of substance on the merits had taken place in the federal action. Second, the state court action implicated the important state interest of protecting consumers from predatory business practices. The panel held that the state court action was not an exercise of “visitorial powers,” and nothing in federal law prevents a district attorney from vindicating a state interest in consumer protection by suing a national bank. Third, Credit One had the ability to raise a federal defense under the National Bank Act. And fourth, the injunction Credit One sought would interfere with the state court proceeding. American Federation of Government Workers v. Department of the Air Force
Johnson served as an Air Traffic Controller Watch Supervisor. The Air Force alleged that Johnson was at fault for a violation of FAA policy concerning the separation of aircraft during his watch in 2018 and that this was grounds for removal in light of his prior offenses. A notice of a removal decision was effective May 11, 2019. On May 7, 2019, the local Union initiated grievance procedures. When the dispute was not resolved, the Union invoked arbitration through the Federal Mediation and Conciliation Service. In November 2020, the Arbitrator upheld the removal decision.The Union appealed but withdrew from the appeal because its national union had placed the local Union in receivership and stripped its counsel of all authority to proceed. Without reaching the merits, the Federal Circuit dismissed Johnson’s motion (Federal Rule 43(b) of Appellate Procedure), to substitute the Union. A party may not substitute under Rule 43(b) where the original party to the appeal lacked standing; unions lack standing to initiate an appeal of an arbitration decision under 5 U.S.C. 7703(a). A party may not substitute under Rule 43(b) when the original party being substituted lacked standing to initiate the appeal. View "American Federation of Government Workers v. Galarsa v. Dolgen California, LLC
Plaintiff sued her former employer, Dolgen California, LLC (Dollar General), to recover civil penalties under the Private Attorneys General Act of 2004 for various Labor Code violations suffered by her or by other employees. Dollar General moved to compel arbitration, which the superior court denied. In November 2021, the Fifth Appellate District affirmed the trial court’s order. That affirmance was vacated by the United States Supreme Court when it granted Dollar General’s petition for writ of certiorari and remanded the case for further consideration in light of Viking River Cruises, Inc. v. Moriana.
The Fifth Appellate District reversed in part the order denying the motion to compel arbitration judgment. The court affirmed Plaintiff’s Type O claims. The court reversed as to Plaintiff’s Type A claims, and the court remanded the matter with directions that the trial court enters a new order requiring Plaintiff to arbitrate the Type A claims. The court concluded Viking River and the Federal Arbitration Act do not invalidate the rule of California law that a provision in an arbitration agreement purporting to waive an employee’s right to pursue representative actions is not enforceable as to representative claims pursued under PAGA. Second, the severability clause in the arbitration agreement allows the unenforceable waiver provision to be stricken from the arbitration agreement. Third, the surviving provisions of the agreement require arbitration of the PAGA claims that seek to recover civil penalties for Labor Code violations suffered by Plaintiff. View "Galarsa v. Escapes! To the Shores Condominium Association, Inc. v. Hoar Construction, LLC, et al.
Escapes! To the Shores Condominium Association, Inc. ("the Association"), individually and on behalf of certain condominium-unit owners, appealed an order denying a Rule 59, Ala. R. Civ. P. motion to vacate a judgment entered on an arbitration award in favor of Hoar Construction, LLC ("Hoar"), and Architectural Surfaces, Inc. ("ASI"). The arbitration award in favor of Hoar and ASI stemmed from the construction of a condominium building located in Orange Beach known as "Escapes! To the Shores." Hoar was the general contractor for the construction project; Stephen Hill was the architect for the construction project; and ASI was the subcontractor responsible for the installation of the exterior surfaces to the condominium building. After construction of the condominium building was substantially complete, the developer of the project sold the units and transferred ownership and management of the common areas to the Association. The Association thereafter filed suit against Hoar, ASI, and Hill seeking damages arising out of alleged construction and design defects to the condominium building, specifically, "stucco blistering and water intrusion." The Association's claims against Hoar and ASI proceeded to arbitration, but its claims against Hill remained pending in the trial court. A panel of three arbitrators issued a final award in favor of Hoar and ASI, concluding, in relevant part, that the defects to the condominium building were the result of a design defect and not a construction defect. Once the trial court entered a judgment on the arbitration award, the Association thereafter filed a Rule 59 motion to vacate that judgment. The Alabama Supreme Court concluded the Association has failed to demonstrate that the arbitration panel engaged in misconduct that would warrant vacatur. The appeal raised the question of whether the Federal Arbitration Act (FAA) preempts a state rule that discriminates against the formation of an arbitration agreement, even if that agreement is ultimately enforceable.
The Ninth Circuit affirmed the district court’s grant of a preliminary injunction in favor of Plaintiffs, a collection of trade associations and business groups (collectively, the Chamber of Commerce); the panel held that the FAA preempted AB 51, which was enacted to protect employees from “forced arbitration” by making it a criminal offense for an employer to require an existing employee or an applicant for employment to consent to arbitrate specified claims as a condition of employment. The panel held that AB 51’s penalty-based scheme to inhibit arbitration agreements before they are formed violates the “equal-treatment principle” inherent in the FAA and is the type of device or formula evincing hostility towards arbitration that the FAA was enacted to overcome. Because the FAA’s purpose is to further Congress’s policy of encouraging arbitration, and AB 51 stands as an obstacle to that purpose, AB 51 was therefore preempted. Because all provisions of AB 51 work together to burden the formation of arbitration agreements, the panel rejected California’s argument that the court could sever Section 433 of the California Labor Code under the severability clause in Section 432.6(i) and then uphold the balance of AB 51.
